EXPLANATORY NOTE

This Registration Statement on Form S-8 of EnteroMedics Inc. (the “Company”) is being filed pursuant to General Instruction E to Form S-8 under the Securities Act of 1933, as amended, to register an additional 3,000,000 shares of common stock, par value $0.01 per share, of the Company issuable pursuant to the Company’s 2003 Stock Incentive Plan (the “Plan”). These additional shares were authorized by an amendment to the Plan which was approved by the stockholders at the Company’s annual meeting of stockholders on May 6, 2009. The remaining shares of common stock issuable under the Plan have been previously registered by Registration Statement on Form S-8 (Registration No. 333-149662), which registration statement is hereby incorporated by reference.
